Agreement

Thank you for visiting https://crediseek.com/ (the “Site”), operated by Goojibear Ltd.(“we,” “us,” “our,” or “CrediSeek”). Please carefully read these Terms and Conditions (the “Terms”) and our Privacy Policy, which we may update from time to time. We provide value-added services meant to connect small-business owners with independent providers of business-loan products and related financial services, as further described on the Site (together with the Site, the “Services”).

By accessing the Site or using our Services, you agree to these Terms and the Privacy Policy. “You” means a user of the Site and/or Services. If you do not agree to these Terms or the Privacy Policy, you should exit the Site and not use or apply for our Services.

We may revise these Terms at any time without notice by updating this page. All updates will be posted here. You are bound by any revisions or updates. You should periodically visit this page to review the current Terms. Any use of the Site or Services by you after we publish a change constitutes acceptance of these Terms as modified. CrediSeek may, in its sole discretion and at any time, discontinue providing the Site or any part of the Services without notice.

Eligibility and Use

Use of and access to the Site or Services is void where prohibited by law. By using the Site or Services, you represent and warrant that:

• any and all information you submit is truthful, accurate, and complete;
• you are at least 18 years old and of legal age to form a binding contract and to apply for funding on behalf of your business;
• if you are submitting information on behalf of a business or other legal entity, you are authorized to do so;
• your use of the Site or Services does not violate any applicable law or regulation; and
• your use of the Site or Services is for a bona fide business financial purpose, such as obtaining a small-business loan or related funding product.

We Are Not a Lender

CrediSeek is not a government agency, government organization, financial institution, lender, broker, credit-repair firm, financial adviser, or other funding provider. We are a marketing lead-generator that connects small-business owners with independent funding providers.

By using the Site or Services to assist your self-representation, you agree that you are representing yourself and/or the entity you are authorized to represent. No attorney-client or other professional privilege is created with CrediSeek. You have been fully informed of the Services that we are performing. No governmental entity or authority has evaluated or approved CrediSeek's knowledge or experience, or the quality of CrediSeek's Services.

You may obtain information regarding small-business loans and funding products directly from a professional business consultant, financial institution, or other funding provider. CrediSeek is not permitted to provide you any actual loan or any kind of advice, explanation, opinion, or recommendation about possible financial or legal rights, remedies, defenses, options, selection of forms, or strategies.

CREDISEEK DOES NOT GUARANTEE THAT YOU WILL RECEIVE A LOAN OR FINANCIAL SERVICE FROM ANY PROVIDER.

Application Services

We provide the following assistance with respect to your search for a small-business loan or related funding product:

CrediSeekconducts preliminary lead-qualification services on behalf of independent funding providers (each, a “Provider”) using the information provided by you through the pre-qualification questionnaire (“Prequalification Criteria”). The questionnaire may request information including but not limited to: business name and address, amount and intended purpose of funding sought, certain financial information about your business, time in business, credit-score range, and certain personal identifiers (the “Application Information”). You agree to provide true, accurate, current, and complete Application Information. We are not responsible for any Service-related issues arising from your failure to provide accurate Application Information. If we determine, in our sole discretion, that you have failed to do so, we may suspend or terminate your access to the Site and Services. By providing the Application Information to CrediSeek, you authorize us to furnish the Provider with your Application Information on your behalf and, if necessary, verify certain fields of your Application Information.

Your receipt of any financial product from a Provider is subject to a separate assessment process that the Provider will conduct. You acknowledge and agree that CrediSeekhas no role in the Provider's decision to provide or not provide funding to you, and that CrediSeekprovides the Application Information to the Provider on your behalf. Any agreement you enter into with a third-party Provider is subject to that Provider's own terms and conditions, and CrediSeek is not responsible or liable for the products, services, or conduct of such third parties.

You authorize us to use the Application Information for all purposes related to the Services, and to have continued access to your Application Information, provided that such access shall be used solely for the purpose of providing the Services to you.

If you are contacted by any Provider or third-party partner based on your use of our Services and you wish to stop receiving communications from them, you must contact that party directly to make such a request. CrediSeekis not responsible for a third party's failure to follow your or our instructions to cease communications.

In connection with your use of the Services, our third-party Providers may conduct credit checks or obtain consumer credit reports from one or more consumer reporting agencies to determine your eligibility for funding offers. By using the Services, you authorize such third parties to conduct any research necessary, including the retrieval and use of credit information. Some Providers may run a soft credit inquiry that will not affect your credit score; others may run a hard inquiry that may affect your credit score, but only after additional disclosures and your separate consent. If you do not wish to allow third parties to access this information, you should not use the Services.

Compliance with Consumer Protection Laws

When facilitating connections to funding Providers, we and our partners aim to comply with applicable U.S. consumer-protection laws, including (where applicable):

• the Truth in Lending Act (TILA);
• the Fair Credit Reporting Act (FCRA);
• the Equal Credit Opportunity Act (ECOA);
• the Fair Debt Collection Practices Act (FDCPA);
• state and federal telemarketing rules; and
• relevant state regulations governing lead generation and marketing referrals.

Consent to Communications

By submitting your information through our Site or Services, you expressly consent to receive communications from CrediSeek and our funding partners and their service providers. These communications may include telephone calls, text (SMS) messages, and emails about your inquiry, including the use of automated technology, an automatic telephone dialing system, or pre-recorded or artificial voice, even if your telephone number is on a corporate, state, or national Do Not Call registry. Your consent is not a condition of using the Services, and you may opt out at any time by replying STOP to a text message, asking the caller to remove you from their list, or emailing info@crediseek.com. Standard message and data rates may apply.

Third-Party Links and Content

Portions of the Site may contain links to or content provided by third parties. CrediSeek is not responsible for the content, accuracy, privacy practices, or reliability of any third-party websites or content. Interactions with any third party are solely between you and the third party, and CrediSeek is not liable for any damages or losses resulting from such interactions.

Intellectual Property

CrediSeek and its licensors own the Site and Services, as well as the materials provided on the Site and Services, including all worldwide intellectual-property rights in them, and the trademarks, service marks, and logos contained therein. Except as expressly permitted herein, you may not copy, modify, adapt, duplicate, distribute, display, perform, sublicense, republish, retransmit, reproduce, create derivative works of, transfer, sell, or otherwise use the Site or Services or any content appearing on them. You will not remove, alter, or conceal any copyright, trademark, service mark, or other proprietary-rights notices incorporated in the Site or Services. All trademarks are trademarks or registered trademarks of their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, logo, or trade name of CrediSeek or any third party. Unauthorized use constitutes copyright and/or trademark infringement and may be prosecuted.

You may not, or attempt to: (a) decipher, decompile, disassemble, or reverse-engineer any of the software used to provide the Site or Services; (b) circumvent, disable, or otherwise interfere with security-related features of the Site or Services or features that prevent or restrict use or copying of any content; (c) use any robot, spider, site search or retrieval service, or any other manual or automatic device or process to retrieve, index, data-mine, or in any way reproduce or circumvent the navigational structure or presentation of the Site or Services; or (d) harvest, collect, or mine information about users of the Site or Services.

Pricing and Fees

We do not charge you any fee for the Services. CrediSeekdoes not control a Provider's terms, and a Provider's funding terms and conditions are entirely and solely within the Provider's discretion. We receive advertising compensation from Providers when matches result in funded transactions. See our Disclosures page.

Disclaimers and Disclaimer of Warranty

CrediSeek is not a financial consultant or institution, and neither CrediSeek nor any of its employees provides legal or financial services or advice of any kind. No representations or warranties, express or implied, are given regarding the legal, financial, or other consequences resulting from the use of our Site or Services. CrediSeek does not guarantee or assume any responsibility for any service advertised or offered by any third party relating to either CrediSeek or any funding Provider. CrediSeek makes no guarantee as to the number of funding Providers with whom you may be matched using the Services, nor does CrediSeek guarantee that you will be able to obtain business funding in any amount using the Services, including from any Provider for whom your information provisionally prequalifies you. You understand and agree that CrediSeek is neither a funding provider nor a financial advisor, and nothing on this Site is intended to be a substitute for professional financial advice.

Your use of the Site or Services is at your sole discretion and risk. The Site and Services are provided on an “AS-IS” and “AS AVAILABLE” basis without warranties of any kind from CrediSeek. CrediSeek expressly disclaims all warranties of any kind, express, implied, or statutory, relating to the Site or Services, including without limitation the warranties of title, merchantability, fitness for a particular purpose, or non-infringement. CrediSeek disclaims any warranties, express or implied, (i) regarding the security, accuracy, reliability, timeliness, and performance of the Site or Services; or (ii) that the Site or Services will be error-free or that any errors will be corrected; or (iii) regarding the performance of or accuracy, quality, currency, completeness, or usefulness of any information provided by the Site or Services.

CrediSeek does not warrant that any estimation or description provided through the Services is accurate, complete, reliable, current, or error-free. CrediSeek cannot and does not accept any liability for any reliance by you on such information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the content at any time without prior notice (including after you have submitted Application Information to us).

No advice or information, whether oral or written, obtained by you from CrediSeek or any third party on behalf of CrediSeek shall create any warranty not expressly stated in these Terms. If you choose to rely on such information, you do so solely at your own risk. Some states or jurisdictions do not allow the exclusion of certain warranties; accordingly, some of the above exclusions may not apply to you.

Limitation of Liability

In no event shall CrediSeek or any of its affiliates, subsidiaries, partners, or their officers, directors, employees, or agents be liable to you for any damages whatsoever, including without limitation, indirect, incidental, special, punitive, or consequential damages, arising out of or in connection with your use of the Site or Services or any content included on the Site (including advertisements), including but not limited to the quality, accuracy, or utility of the information provided as part of or through the Site or Services, whether the damages are foreseeable and whether or not CrediSeek has been advised of the possibility of such damages. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

If you are a California resident, you hereby waive application of Section 1542 of the Civil Code of the State of California (or any similar statute or law of any other jurisdiction), which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

Indemnification

You agree to indemnify, defend, and hold harmless CrediSeekand its respective employees, directors, officers, subcontractors, and agents against any and all claims, damages, costs, or expenses (including court costs and attorneys' fees) that arise directly or indirectly from: (a) breach of these Terms by you; (b) any claim, loss, or damage experienced from your use or attempted use of (or inability to use) the Site or Services, including any transactions that you conduct or attempt; (c) your violation of any law or regulation; (d) your infringement of any right of any third party; and (e) any other matter for which you are responsible hereunder or under law. You agree that your use of the Site or Services, including without limitation provision of services in connection with the Site, shall be in compliance with all applicable laws, regulations, and guidelines and shall not be intended to damage, disable, overload, or impair the Site or the servers on which it is hosted.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the seat of arbitration in New York County, New York. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. To the fullest extent permitted by law, you and CrediSeek agree to bring claims against each other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
